Startup Debt Ratio: A Guide by Stage and Common Mistakes

The debt ratio's formula, threshold, and interpretation change depending on the stage. We explain the two formulas, the ranges for each phase, and how to use it effectively.

The debt ratio measures the proportion between a company's debt and its equity or total assets. It is one of the financial metrics most frequently consulted by founders, analysts, and CFOs, but also one of the most misinterpreted: a number without context decides nothing; what matters is knowing what type of debt makes up that number, what stage the startup is in, and what its unit economics generate to support it. What is the debt ratio and why are there two formulas that cannot be mixed?

Infographics often circulate presenting a single formula as if it were the only one that exists. The problem is that there are two common variants of the debt ratio, and their results are not comparable:

  • Total Liabilities ÷ Equity: measures how many times debt exceeds equity. It can easily exceed 1, and its range is not capped.
  • Total Liabilities ÷ Total Assets: offers a more intuitive range between 0 and 1, and it is the variant most frequently used by bank risk analysts in Spain and scoring models from entities such as the ICO for their financing lines.

If you calculate your ratio using the first formula and then compare it to a bank's benchmark that uses the second, the result is not comparable: always confirm which denominator the source used before contrasting your data with any external reference.

What are the debt ratio thresholds for a Spanish startup?

There are no universal thresholds, and any color-coded guide that tells you otherwise is oversimplifying. That doesn't mean you should operate without benchmarks: at Intelectium, with over 450 startups and SMEs supported and more than €400M channeled into financing processes, we work with indicative ranges (internal criteria, not a regulated standard) differentiated by stage, calculated as Total Liabilities ÷ Total Assets:

  • Pre-seed / Seed: target ratio of 20-35%. If it exceeds 40% with traditional bank debt before achieving product-market fit, we consider it a red flag.
  • Series A / Growth: target ratio of 40-60%. Up to 70% is acceptable if the Debt Service Coverage Ratio (DSCR) exceeds 3x, meaning recurring revenue covers debt payments three times over.
  • Scale-up (Series B+): target ratio of 50-70%. The operational limit here isn't the ratio itself, but interest coverage: if EBIT falls below 2x financial expenses, your room for maneuver disappears.

*Consistency note:* these ranges do not contradict the 10-30% threshold we cite in our guide on how ENISA evaluates your company: that percentage measures a different formula (Gross Financial Debt ÷ Total Funds, specific to ENISA's rating algorithm), not the general debt ratio we are discussing here.

The tolerable ratio increases as a startup matures and consolidates predictable revenue. A B2B SaaS startup with stable ARR and churn below 5% can operate in the 70-80% range without it being a warning sign. A marketplace in the validation phase with variable revenue should not exceed 30%.

How to calculate your debt ratio step by step:

  1. Open your company's most recent balance sheet.
  2. Add up all liability items: current (debts due in less than a year) and non-current (debts due in more than a year).
  3. Decide which formula you will use and be consistent: Total Liabilities ÷ Total Assets to compare against banking benchmarks; Total Liabilities ÷ Equity to measure relative dependence on your own funds.
  4. Calculate the ratio and note it next to the balance sheet date. A ratio without a date is like a photo without a timestamp: you don't know if it captures the peak of a campaign or the structural situation.
  5. Compare the result with the range for your stage, not with a generic threshold.

A note that changes many analyses: in Spain, participatory loans from ENISA or CDTI are recorded as liabilities under the General Accounting Plan. This inflates the debt ratio on paper. However, many institutional investors treat them functionally as quasi-equity: they have interest rates tied to company performance and lack collateral. If your balance sheet includes ENISA funding and your ratio exceeds 0.60, before worrying, break down the composition of that debt and present it that way to any financial stakeholder.

How can you improve your debt ratio without destroying value in the process?

It is often said that "bringing in new partners" or "increasing capital" are equivalent levers for strengthening net equity and lowering the ratio. On the balance sheet, yes. In the practice of a Spanish startup, each lever has a different cost that the balance sheet does not reflect.

A capital increase has immediate effects on founder dilution, the benchmark valuation for the next round, and the tax treatment of stock options for the entire team. "Renegotiating debt by extending terms" is not a low-friction conversation either: in the Spanish banking context, a renegotiation triggers a review of the client's risk profile, may require new collateral, and has implications for the CIRBE.

These are the strategies we apply at Intelectium:

  • Smart refinancing: replacing expensive debt (>7%) with ENISA or CDTI instruments at more competitive rates and with multi-year grace periods. In a case where €300,000 of bank debt at 8% was refinanced with ENISA at 3.75%, the company freed up €36,000 in annual cash flow without touching its cap table.
  • Debt + equity combination: in a Series A, structuring 70% as equity and 30% as venture debt reduces founder dilution while maintaining the same capital available for growth.
  • Working capital optimization: reducing collection days from 60 to 30 improves the cash position without adding a single euro of new debt.
  • Debt-to-equity conversion: only in critical situations, when the alternative is insolvency proceedings: it is an emergency exit, not a ratio improvement lever.

When to leverage and when not to, using unit economics as the tie-breaker?

The unit economics framework (LTV/CAC and CAC Payback Period) is the most direct mechanism for deciding if your debt ratio can afford to increase. If your payback period is under 12 months, the startup can take on controlled debt. If it exceeds 18 months, adding debt compounds the problem because cash flows won't arrive in time to cover obligations.

A SaaS startup with €1M ARR, 3% churn, and three SDRs looking to hire at €150,000 annually: with venture debt at 5%, the annual financial cost is €7,500, and the projected additional ARR in year 1 exceeds €400,000.

The criteria we apply to decide:

Signs that you can leverage:

  • Predictable ARR above €500,000 or positive operating cash flow.
  • Measurable ROI with a payback period of less than 18 months.
  • Competitive rates, below 6%, or tax-deductible.
  • Three projected cash scenarios and, in the pessimistic one, the ability to service the debt for 12 months.

Signs that you shouldn't:

  • Monthly burn rate exceeding €50,000 without recurring revenue to back it up.
  • Ratio already above 50% in the pre-revenue phase.
  • Debt intended for expenses without measurable ROI.

A 30% ratio with expensive bank debt in the pre-revenue phase can be riskier than 60% with ENISA and venture debt at the growth stage with stable ARR: the type of debt and the timing matter more than the isolated figure.
