R&D&i tax incentives are a set of fiscal mechanisms that reduce the cost of investing in research, development, or technological innovation: some apply to Corporate Income Tax, while others apply to Social Security contributions.
According to the OECD, Spain is one of the countries with the most favorable conditions in the world for launching and developing technological and/or innovative projects. If your startup or SME carries out R&D or IT, you are entitled to recover up to 59% of those expenses in the case of R&D, even if you do not have sufficient tax liability to apply it.
In this guide, you will find out how tax incentives work, step-by-step calculation examples, when each option is appropriate, and the most common mistakes that cause startups and SMEs to lose money.
What are R&D&i tax incentives?
An R&D&i tax incentive is a recognized right (deductions under Article 35 of the Corporate Income Tax Law and bonuses under Royal Decree 475/2014), not a grant that must be applied for or aid subject to a call for proposals. These instruments are freely and generally applicable, under a non-competitive regime: you do not compete with other companies for a limited budget, and if your activity and expenses are well documented, the reduction is guaranteed.

Why is Spain such a competitive tax environment for R&D&i?
The OECD ranks Spain among the countries with the most favorable tax frameworks in the world for companies that invest in research, development, and technological innovation. The reason is structural: while many countries limit these incentives to large corporations or specific sectors, the Spanish system is open and horizontal, applying regardless of size, sector, or legal structure, and allows for the deferral of deductions to future years when there is insufficient taxable income.
This combination of high percentages, universal access, and the possibility of monetization is rare outside of Spain and explains why deeptech, biotech, and healthtech startups with years of accumulated losses can still recover a significant portion of their R&D investment.
How does the R&D&i tax deduction work?
The tax deduction is the most widely used instrument and the one that acts most directly: it reduces the gross Corporate Income Tax liability for the year in which the expenses are incurred, by the percentage corresponding to the type of activity.
It functions as a direct reduction of the tax payable, rather than a reduction of the taxable base (which is how the Patent Box, for example, operates).
The system distinguishes between two types of activity, with different percentages:
• R&D (Research and Development): According to Article 35.1 of the Corporate Income Tax Law (LIS), research is defined as "planned original investigation aimed at discovering new knowledge and achieving a superior understanding in the scientific and technological field," and development as "the application of research results or any other type of scientific knowledge for the manufacturing of new materials or products, or for the design of new production processes or systems, as well as for the substantial technological improvement of pre-existing materials, products, processes, or systems." The base rate is 25%, which can be increased in specific cases as we will see below. For example, it is 42% for the first year of application.
• TI (Technological Innovation): According to Article 35.2 of the LIS, technological innovation is defined as "activity whose result is a technological advance in obtaining new products or production processes, or substantial improvements to existing ones," with "new" understood as those "whose characteristics or applications, from a technological point of view, differ substantially from those existing previously." The rate is 12%.
A key point: if the company does not have sufficient corporate tax liability to apply the deduction in a given year (for example, due to losses), the right is not lost. The deduction can be applied in future years within the statute of limitations, or converted into cash through a Tax Credit refund and/or monetization, or structured as a Tax Lease operation, which we will cover later in this guide.
With this foundation, let's look at exactly how it is calculated using a complete numerical example.
How is the R&D deduction calculated? A step-by-step example
Let's assume a company whose average R&D expenditure over the two previous years was €90,000 per year, and which invested €150,000 in R&D activities in 2025. Since it exceeded the average of the two previous years, part of the expenditure is taxed at the base rate, and the excess benefits from the increased rate. This is how the deduction for that year would be calculated:
For the first €90,000 of expenditure in 2025, the base rate of 25% is applied: 90,000 × 25% = €22,500. For the excess expenditure in 2025 over that average (150,000 − 90,000 = €60,000), the increased rate is applied (25% + 17% = 42%): 60,000 × 42% = €25,200. Total deduction for the year: 22,500 + 25,200 = €47,700. The full applicable percentages are summarized in this table:
Key fact
- Combining all brackets, the cumulative R&D tax credit can reach up to 59% of expenses (25% + 17% incremental + 17% personnel), although this requires meeting all conditions simultaneously.
- The maximum annual amount is €5M for R&D and €1M for Technological Innovation (TI).
- Eligible expenses include technical personnel, materials, subcontracting, equipment depreciation, and a proportional share of overhead costs, provided they were incurred within the EU.
- The tax credit base is calculated only on direct expenses, not indirect ones.
What maintenance requirements are needed to monetize the tax credit?
These requirements do not apply to the tax credit in general—you can apply it without meeting them—but specifically to the option of monetizing it (converting it into a cash refund, Art. 39 LIS) instead of applying it against your tax liability:
- The average total headcount or the staff assigned to R&D&i cannot be reduced within 24 months from the end of the tax period.
- During that same 24-month period, an amount equivalent to the tax credit must be allocated to R&D&i expenses or investments.
If the company fails to meet either of these two requirements after having monetized the credit, it must regularize the monetized amount along with the corresponding late-payment interest.
- To apply the tax credit, it is necessary to obtain a Reasoned Report (Informe Motivado or IMV) or a Prior Valuation Agreement (APV) regarding the classification of the activity as R&D or TI. Otherwise, you assume the risk of applying the credit without that backing, leaving you exposed to the tax authorities questioning the classification during an audit.
How do I know if my project is R&D or Technological Innovation? Examples by sector
The line between R&D and TI is not always clear and varies significantly depending on the type of activity. Here are common examples across different deeptech verticals:
What level of legal certainty does each way of applying the tax credit offer?
Not all ways of applying for the deduction carry the same level of risk. Before deciding how to proceed, it is helpful to be clear about which stage you are at:
What documentation is required to apply for the Binding Motivated Report (IMV)?
One of the reasons many companies postpone applying for the IMV is not knowing what documentation they should be generating throughout the year. The closer this documentation is to the actual activity, the more robust the final technical report will be:
- Project technical report: objective, scientific or technological uncertainty, methodology, and results obtained or expected.
- Technical staff timesheets: time dedicated per person and per project, ideally on a monthly basis.
- Invoices for materials and subcontracting: explicitly linked to the corresponding R&D or IT project. This also includes software licenses and the depreciation of equipment used exclusively for R&D&i activities, proportional to its use in the project.
- External collaboration agreements: with universities, technology centers, or other companies, where applicable (when subcontracting exceeds €80,000 or 20% of the total project expenditure).
- Equipment depreciation schedule: with the percentage of use allocated to the project when the equipment is not used exclusively for it.
Having this documentation organized from the beginning of the year drastically reduces the time needed to prepare the IMV, which requires mandatory certification, and is also the best possible defense if the Tax Agency opens an audit on previously declared years.
What is the Binding Motivated Report (IMV) and why does it matter so much?
Ex-ante IMV
Issued by the Ministry of Science, Innovation and Universities, or when the R&D&i project is funded by the CDTI. It certifies the project and the consistency of the budgeted expenses before the company incurs them, rather than after they have been executed, hence its "ex ante" nature.
It is a single report that covers the entire duration of the project (for collaborative projects, one is issued for each consortium partner).
- How to apply: electronically, through the private area of the CDTI's electronic office.
- Application deadline: it is not tied to the end of the fiscal year or to July 25th; it is requested within the framework of the CDTI-funded project itself.
- What risk it covers and what it does not: the CDTI's criteria regarding the R&D nature of the project is binding for the Tax Agency, which substantially reduces the risk of an audit. However, it does not completely shield the deduction: if the expenses finally declared deviate from what the certified project contemplated, that discrepancy remains subject to challenge during an audit.
Ex post IMV
This is the standard route for companies that do not have CDTI funding and want to secure the deduction for a fiscal year that is already closed or currently underway. It certifies expenses that have already been executed (or are in the process of being executed), not a forecast.
- How to apply: it first requires a technical certification issued by an entity accredited by ENAC (Art. 5, Royal Decree 1432/2003), followed by the electronic submission of the application via the Ministry's electronic office.
- Application deadline: July 25th of the year following the close of the fiscal year (for fiscal years that coincide with the calendar year). For the 2025 fiscal year, the deadline is July 25th, 2026. For split fiscal years, the deadline is 6 months and 25 calendar days after the end of the tax period.
What is the Tax Voucher and how does direct monetization work?
The Tax Credit Cash-out, or monetization, regulated under Article 39 of the Corporate Income Tax Law, allows a company with generated tax deductions that are pending application due to insufficient tax liability to request an advance cash payment of those deductions from the Tax Agency.
- The company verifies that it has generated R&D&i tax deductions that are pending application.
- It requests the monetization of said deductions from the tax authorities.
- The Tax Agency pays the amount in cash, withholding 20% of the nominal value (the company receives approximately 80%).
It is essential to have the project's Motivated Report (IMV) to monetize the deduction. Unlike an "ordinary" deduction (applied against tax liability), which can be applied without one—albeit at one's own risk—the IMV is not optional here: without it, the tax authorities will not accept the monetization request.
This mechanism has two important limits that should be planned for in advance: you must wait at least one year from the date the deduction is recorded before you can request it, and there is an annual limit of 3 million euros (which increases to 5 million if the company's R&D intensity exceeds 10% of its turnover, a threshold few companies reach).
What is a Tax Lease and how does financing via an EIG work?
A Tax Lease is a different instrument from the Tax Credit Cash-out, although they are often confused. In this case, it is not the Tax Agency that pays, but a private investor who finances the R&D project in exchange for applying the generated tax deduction themselves.
A key initial difference: a Tax Lease is structured around projects being executed during the current fiscal year, whereas traditional tax deductions (and their monetization) are always applied to a closed fiscal year. This is precisely what allows for financing to be advanced during the project's actual year, rather than waiting for the fiscal year-end.
The mechanism is structured in 6 steps through an Economic Interest Grouping (EIG), regulated by Law 12/1991:
- An EIG is incorporated with the corporate purpose of research, technological development, and innovation.
- Investors contribute capital to the EIG in proportion to the tax deductions they wish to acquire.
- The company executing the R&D project invoices the EIG for services rendered; intellectual property is temporarily transferred to the EIG.
- As the project owner, the EIG applies the corresponding tax credits, which are allocated proportionally to the investors.
- The R&D company obtains immediate funding without equity dilution: the investor pays the company for the assignment of tax rights.
- Once the investors have applied the deductions, the EIG is dissolved and the intellectual property reverts to the developing company.
Key figures
- The company receives between 25% and 40% of the total project cost (in some cases, this figure may exceed what would be obtained through direct deduction).
- The Motivated Report (IMV) is mandatory in this case, not just recommended.
- The process is much faster than the Tax Credit Voucher: funding can arrive in 3-4 months, without having to wait the year required by the direct monetization route.
- It is typically applied to projects starting at €250,000, although there is no maximum budget.
This instrument has consolidated legal backing: Article 35 of the Corporate Income Tax Law (LIS) (qualification and percentages), Article 39 of the LIS (assignment and monetization), Article 48 of the LIS (tax regime for EIGs), and Law 12/1991 on Economic Interest Groupings, in addition to several binding rulings from the Directorate General for Taxes that recognize its validity when applied correctly.
What is the Patent Box and how does it differ from the R&D&i deduction?
While the R&D&i deduction rewards the expenditure involved in generating knowledge,the Patent Box rewards the income generated by that knowledge once it is licensed or exploited, typically through patents, utility models, supplementary protection certificates, or registered advanced software. It consists of a reduction in the taxable base on income derived from the licensing or transfer of these intangible assets.
It is especially relevant for deeptech and biotech companies in the scaling phase: A startup in the development phase primarily activates the R&D&i tax deduction because it does not yet generate significant revenue from the intellectual property created; a more mature company that already licenses its technology or patents to third parties can also begin to benefit from the Patent Box on that income. The tax planning of a company with significant intellectual property assets should consider both mechanisms as part of the same strategy, rather than in isolation.

How do Social Security bonuses for research staff work?
Companies with technical staff dedicated 100% of their time to R&D or IT are entitled to a bonus of between 40% and 50% on the employer's Social Security contribution for common contingencies for those profiles, with the ability to allocate up to 15% of that time to collateral tasks without losing that status.
It only applies to new permanent contracts. Internship and project-based contracts cannot apply for this incentive.
- It has a time limit: a maximum of 3 years per hired person, starting from the moment of hiring.
- It is not retroactive: it must be activated at the time of the employee's registration.
- For up to 9 research employees, no external certification is required: a technical report and internal time tracking are sufficient.
- For 10 or more employees, it is mandatory to obtain the IMV, which must be requested within 6 months following the close of the fiscal year. This requires prior project certification, a process that may include an audit with interviews of the staff to be subsidized.

What is the Innovative SME Seal and what is it actually for?
The Innovative SME Seal is a certification that verifies a company's innovative nature. Its real purpose isn't prestige: it's a tax enabler.
Without the Seal, a company can apply both the Social Security bonus and the R&D&i tax deduction, but not for the same employees: you must apply each incentive to different profiles. With the Seal, both benefits are compatible and can be applied simultaneously to the same profiles, which in practice doubles the benefit for the same technical team.
A critical timing nuance: the SME Seal is not retroactive. Deductions compatible with bonuses apply from the fiscal year following the one in which the Seal is obtained. If it is obtained in December 2026, the first compatible deduction applies to 2027 expenses, not 2026.
Are R&D&i tax incentives compatible with public funding?
R&D&i tax incentives are 100% compatible with most public funding instruments, with nuances depending on the type of aid:
- Non-repayable grants (CDTI, Horizon Europe, PERTE, ERDF): the deduction base is reduced by the portion already covered by grants for the same expenses, as subsidized costs are never deductible. Furthermore, it is important to note that Tax Lease is not always compatible with these types of public grants: it is advisable to review each case before structuring the operation, as combining both instruments on the same project can create eligibility conflicts.
- Repayable loans (CDTI, ENISA, ICO): these are compatible WITHOUT reducing the deduction base, as they are not non-repayable aid.
Example: A €200,000 project with a 40% CDTI grant (€80,000) would have a deduction base of €120,000—the expenses not covered by the grant. The corresponding deduction percentages would be applied to those €120,000.
How do ENISA, CDTI, the SME Seal, and tax deductions fit into a combined strategy?
The most common and efficient combination for a deeptech or biotech startup with intensive R&D activity is: ENISA to finance the strategic plan with participating loans, CDTI PID or NEOTEC for the specific R&D project, R&D&i tax deductions with IMV, and the SME Seal to be able to combine those deductions with Social Security bonuses for the same technical team.
Managing these instruments in a coordinated way, rather than as isolated services handled by different providers, is what prevents a company from losing value due to a lack of coordination—for example, applying a grant to the same expenses that you later want to claim a 42% deduction on, without having correctly reduced the base.

What mistakes do startups and SMEs make when applying for these incentives?
- Applying the deduction without a Reasoned Report (IMV), assuming full risk in the event of an audit.
- Applying social security rebates to contracts that are not permanent or to employees outside of contribution groups 1, 2, 3, or 4.
- Confusing the Tax Credit (Cheque Fiscal) with Tax Lease and poor timing.
- Failing to activate the social security rebate at the time of hiring, resulting in the irreversible loss of savings from the first few months.

Common audit risks and how to mitigate them
Even with a Reasoned Report (IMV), a company may still receive an inquiry from the Tax Agency regarding its R&D&i deduction. Knowing the most frequently reviewed areas helps in preparing documentation in advance.
In practice, most of these risks are neutralized simply by having the IMV: since it is binding for the Tax Agency, it shifts the technical discussion regarding the classification of the activity to the issuing body, limiting the audit to a review of formal and accounting aspects rather than the nature of the activity itself.

Furthermore, if the company holds the Innovative SME Seal, it can combine Social Security rebates and tax deductions for the same employee—something that is not permitted without the seal.
Is the Innovative SME Seal mandatory to apply for the deduction?
No. It is only necessary if you wish to apply both the Social Security rebate and the R&D&i deduction to the same employees. Without the seal, each incentive must be applied to different profiles.
How long can the rebate be applied to the same employee?
A maximum of 3 years per hired person, and only for permanent contracts — this does not apply to internship or project-based contracts.
Can my regular accounting firm handle this?
It depends on the firm. Most generalist accounting firms correctly file Corporate Tax returns but do not specialize in identifying R&D activities or preparing technical documentation for the IMV. Can I claim deductions from previous years that I never applied for?
In many cases, yes, within the applicable statute of limitations, provided that the R&D&i activity for those years can be documented retrospectively. This is common for SMEs with years of technological investment that never activated the mechanism.
What is the difference between the Patent Box and the R&D&i deduction?
The R&D&i deduction applies to the cost of investing in research; the Patent Box applies to the income generated by that research once it is exploited (licenses, patent assignments). They can coexist at different stages of a company's lifecycle.
Can I apply the deduction if I subcontract R&D to a university or research center?
Yes. Subcontracting to universities, hospitals, or technology centers is an eligible expense within the deduction base, provided it is documented with a collaboration agreement and the corresponding invoices linked to the project. In fact, this type of collaboration often strengthens the technical report for the IMV, as it provides external validation of the scientific nature of the activity.
What happens if I change accounting firms or advisors in the middle of the IMV application process?
The process can continue, but it is advisable to perform a complete review of the documentation generated up to that point before the handover: the technical report, time logs, and invoices must remain consistent between the party that started the project and the one finishing it. Changing providers mid-process is also the most common time when incorrectly allocated expenses or incomplete documentation from previous years are detected.
